& conditions of Sale.
Terms & conditions of sale of Basement Lighting Limited
and its agents, hereinafter referred to as "The Company".
General
Conditions
In the event of the purchaser's order containing special conditions,
that order will only be accepted by The Company on the understanding
that those conditions are not at variance with our own, or if
there is any variance, that such conditions have been waived
by the purchaser.
Prices
Prices quoted are inclusive of Value Added Tax. Value Added
Tax will be charged at the applicable rate. Prices/charges will
be those ruling at the date of despatch and, whilst every endeavour
has been made to ensure accuracy of prices quoted, no responsibility
is accepted for any error or omissions.
Retention of Title
Property and title to the goods shall not pass to the purchaser
until all sums, including interest or legal costs due or owing
to The Company or to its agents, however arising, have been
received by The Company's bank and credited to The Company's
account. The compnay reserves the right of lien and stoppage
in transit and the right of resale of any goods when any said
sums are due or owing.
Settlement Terms
Strictly Nett Monthly Account. The company reserves the right
to claim/charge interest at 5% above National Westminister Bank
PLc's base rate, on any said sums which are not received by
The Company or The Company's bank by the due date. Non-delivery
or any delivery discrepancy must be reported in writing within
seven days from date of invoice.
Delivery
The Company will use it's best endeavours to meet the estimated
delivery times, but cannot accept liability whatsoever for failure
to do so.
Order Cancellation
Cancellation of a purchaser's order can only be accepted after
prior negotiation and agreement.
Liability
All goods and information are supplied in good faith and the
purchaser shall be responsible for ensuring the fitness of purpose
for the purchaser's applications. The Compnay accepts no liability
of direct or consequential loss, damage or injury arising from
supply of goods or errors in infromation provided by The Company
however the same may arise. In addition the purchaser shall
save The Company harmless from and indemnify The Company for
all liability, loss, costs, expenses or damages howsoever caused
by reason of any goods (whether or not defective) or any act
or omission of The Company, including but not limited to any
injury (whether to body, property or personal or business character
reputation) sustained by any person or to any person or to any
property, and for infringement of any patent rights or other
rights of thrid parties, and for any violation of municipal
state or federal laws or regulations governing the products
of their sale or distribution of goods by the purchaser.
Copyrights and
Patents
The Company will reatin the design and manufacturing copyrights
of all goods. The Company owns full copyright in respect of
all its' catalogues and their reproduction in part or in whole
is prohibited without The Company's prior written consent.
Returned Goods
No goods can be returned for credit unless agreed with The Company.
All goods returned under this category must be received in their
original supplied condition. The purchaser will bear all costs
of returning goods.
Force Majeure
All contacts and transactions are subject to force majeure.
Export Regulations
Purchasers are responsible at their expense for obtaining any
licence and complying with any export regulations in force within
the United Kingdom and in the country of destination.
Law
All transactions and disputes will be governed by English Law.
Warranty/Guarantee
Any defect which under proper use appear in the goods supplied,
within a period of twelve months (or less if otherwise stated)
after delviery and which are due to faulty materials, workmanship
or design, will be made good by us, either by repair or at our
opinion by replacement provided the goods or the defective parts
thereof are returned to us, carriage paid and suitably packaged
within the guarantee period or one month thereafter, together
with a claim in writing which specifies the date of purchase
and the original invoice/delivery note number.
